Mission and charter
Civic infrastructure that does not ask to be trusted.
Social Sapiens Corporation exists to build neutral civic decision-making infrastructure: tools that let citizens deliberate and be counted honestly, without asking anyone to rely on our discretion.
Purpose
A public benefit named by function, not by brand.
Our charter names a specific public benefit: neutral civic decision-making infrastructure; equal treatment of lawful political viewpoints; non-exploitation of citizens' personal and political data.
A vague purpose clause is unenforceable. This one names the function the company is obligated to serve, so that the obligation can be measured and, if necessary, enforced.
Never-covenants
Five things we will never do.
Written into the charter, not stated as policy. Amending them, amending the public-benefit clause, or converting away from public-benefit status requires two-thirds of all outstanding shares. The lock applies to itself.
- Never sell or share individual-level user data. Aggregate, k-anonymized data only.
- Never store identity documents or biometrics.
- Never endorse, rank, rate, score, or match candidates or ballot measures.
- Never accept payment from campaigns, parties, or PACs except published-price, equal-terms services.
- Never give any account paid influence over support counts, visibility, or moderation.
Reporting
Annual, public, on the record.
Delaware requires a public benefit corporation to report on its public benefit only every two years, and only to stockholders. We commit to more: a public benefit statement under Delaware General Corporation Law §366, published annually and publicly on this site.
Board decisions that balance the public benefit against other interests are documented in board minutes, consistent with §365.
Neutrality
No commentary. No credit-taking.
Neither the company nor its founders comment on any candidate or election outcome, and we never take credit for an electoral or ballot result.
A permissible claim about impact is a process claim: that a number of verified residents deliberated on an issue, or that an issue reached a wider scope with a number of towns participating. We do not claim, and will not claim, that a platform of ours got a measure passed, a candidate elected, or any outcome achieved. This policy binds our marketing and investor materials as much as our public statements.
Nothing on this page is legal advice. It describes our own governance commitments and public-benefit purpose as adopted in our charter and corporate policy.
